Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Sparkbooth AI platform and services ("Service") operated by JWP, LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Sparkbooth AI is a cloud-based, software-as-a-service (SaaS) platform that provides AI-powered photo transformation capabilities through a web application and API. The Service includes:

  • A web-based dashboard for managing your account, subscriptions, and API keys
  • An API for programmatic photo transformation
  • Monthly subscription plans with allocated transformation credits
  • Pay-as-you-go credit packages available for one-time purchase

2. Account Registration

To access the Service, you must create an account using a supported authentication provider (Google, Facebook, or LinkedIn). You agree to:

  • Provide accurate information during registration
  • Maintain the security of your account credentials
  • Keep your API key confidential and not share it with unauthorized parties
  • Accept responsibility for all activity that occurs under your account or API key
  • Notify us immediately of any unauthorized use of your account

3. Subscriptions, Credits, and Billing

Subscriptions

Paid subscriptions are billed on a monthly recurring basis through Stripe. Each subscription tier includes a monthly allocation of transformation credits. You may upgrade, downgrade, or cancel your subscription at any time through your account dashboard or the Stripe customer portal.

Credits

  • Monthly credits reset at the start of each billing cycle and do not roll over to the next period. Any unused monthly credits are forfeited when your billing cycle renews.
  • Pay-as-you-go credits purchased separately do not expire and remain available until used.
  • Deduction order: Monthly subscription credits are always consumed first. Pay-as-you-go credits are only used after your monthly allocation has been fully consumed.
  • Each photo transformation consumes one or more credits depending on the operation type.

Refunds

Subscription fees are non-refundable except where required by applicable law. Unused credits are not refundable. If you cancel your subscription, you retain access to the Service until the end of your current billing period.

4. Acceptable Use

You agree not to use the Service to:

  • Upload, transform, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Generate content that infringes on the intellectual property rights of others
  • Attempt to reverse-engineer, decompile, or extract models or algorithms from the Service
  • Circumvent rate limits, usage restrictions, or security measures
  • Share, resell, or redistribute your API key or access credentials
  • Use the Service in any way that could damage, disable, or impair our infrastructure

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms.

5. Intellectual Property

Your Content

You retain full ownership of all photos you upload to the Service. Transformed outputs are yours to use for personal or commercial purposes. We do not claim any ownership rights over your content.

Our Service

The Service, including its software, design, text, graphics, and documentation, is owned by JWP, LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding. The specific software-license terms — license grant, restrictions, API key, and termination — are set out in our End User License Agreement.

6. Third-Party Services

The Service relies on third-party providers for certain functionality, including but not limited to:

  • AI providers (e.g., Google Gemini, Replicate) for photo transformation processing
  • Stripe for payment processing
  • Amazon Web Services (AWS) for cloud infrastructure
  • Authentication providers (Google, Facebook, LinkedIn) for account sign-in

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JWP, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless JWP, LLC, its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

11. Termination

You may close your account at any time by canceling your subscription and submitting a data deletion request. We may terminate or suspend your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to us, other users, or third parties.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.
