End User License Agreement

This End User License Agreement ("EULA") governs your license to access and use the Sparkbooth AI platform, API, and related software (collectively, the "Service") operated by JWP, LLC ("we," "us," or "our"). The EULA forms part of the Terms of Use; capitalized terms not defined here have the meanings given to them in the Terms.
1. License Grant
Subject to your compliance with this EULA, the Terms of Use, and payment of any applicable fees, JWP, LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes. The license is effective only while your account is active and in good standing.
2. Restrictions
You may not, and may not permit any third party to:
- Copy, modify, or create derivative works of the Service or any of its components
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, weights, or algorithms underlying the Service
- Use the Service to develop, train, or improve a competing product, service, or model
- Resell, sublicense, rent, lease, or otherwise commercially exploit the Service, or offer it as a substitute API to third parties
- Circumvent or attempt to circumvent rate limits, quotas, usage restrictions, or security measures
- Remove or obscure any copyright, trademark, or other proprietary notices on the Service
- Use the Service in a manner that violates applicable law or the Terms of Use
3. API Key Terms
Your API key is a license token issued to you alone. You are responsible for keeping it confidential and for all activity that occurs under it, including any usage, charges, or content generated. You may not share, resell, embed in a public client, or otherwise distribute your API key. We may rotate, suspend, or revoke a key at any time without notice if we reasonably believe it has been compromised, is being used in breach of this EULA, or is implicated in abuse or fraud.
4. Your Content and Outputs
You retain all rights you have in the photos you upload ("Inputs") and the transformed images we deliver to you ("Outputs"). You grant us a limited, worldwide, royalty-free license to host, process, transmit, and temporarily store your Inputs and Outputs solely to provide the Service to you and to enforce our terms. We do not use your Inputs or Outputs to train, fine-tune, or improve our or any third party's AI models. Photo retention is described in our Privacy Policy.
5. Our Intellectual Property
The Service, including all software, designs, models we license from third parties, documentation, trademarks, and branding, is owned by JWP, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. This EULA grants you no rights in our trademarks, logos, or branding, and no ownership rights in the Service itself. All rights not expressly granted are reserved.
6. Updates and Changes
The Service is delivered as a hosted offering and may change over time — features may be added, modified, deprecated, or removed at our discretion. The license granted under this EULA follows the current version of the Service as we make it available. Material changes to this EULA will be reflected in the "Last updated" date above; your continued use of the Service after such changes constitutes acceptance.
7. Termination
The license terminates automatically when your account is closed, when you breach this EULA or the Terms of Use, or when we discontinue the Service. On termination, you must stop using the Service and any associated API keys. Sections 2 (Restrictions), 3 (API Key Terms), 5 (Our Intellectual Property), 8 (Disclaimer and Liability), and 9 (Relationship to Other Terms) survive termination.
8. Disclaimer and Liability
The Service is licensed "as is" and "as available." The warranty disclaimers, limitations of liability, and indemnification obligations set out in the Terms of Use (sections 7, 8, and 9) apply equally to this EULA and are incorporated here by reference.
9. Relationship to Other Terms
This EULA is part of, and incorporated into, the Terms of Use. To the extent the EULA and the Terms of Use conflict, the EULA controls for matters concerning the software license (sections 1 through 7 above); the Terms of Use control for all other matters, including account registration, billing, acceptable use, and dispute resolution. The Privacy Policy governs our handling of personal data; Cookies Policy governs cookies; and the Data Deletion page describes how to request deletion of your data.
